These Terms of Service ("Terms") provide a public overview of the use of the "Remy" software, operated by Parsenn Advisers GmbH ("Provider"). Remy is made available exclusively to M&A advisory firms and comparable professional clients ("Client").
Access to Remy is granted exclusively on the basis of an individually signed framework agreement ("Rahmenvertrag") between the Provider and the respective Client. No self-registration takes place via the website.
The signed framework agreement, together with its annexes (price sheet, data processing agreement, and technical and organisational measures), is solely binding. These Terms serve general information purposes only; in the event of any conflict, the framework agreement prevails over these Terms in every case.
Remy is a cloud-based software (software-as-a-service) for identifying and prioritising Swiss SMEs with succession needs. It consists of a shared scoring core (base data and scores, identical for all Clients) and client-private overlay data (pipeline, notes, assessments) accessible only to the respective Client. Strict data separation between Clients ("Chinese walls") is enforced server-side through appropriate technical and organisational measures.
The information provided in Remy originates from public sources (incl. commercial register/ZEFIX, SHAB, Moneyhouse, websites) and from algorithmic and AI-supported analysis. It is provided "as is". Access is granted via personal named-user licences in the scope agreed in each case.
Remy is under continuous development. Individual features may be modified, added, or discontinued, provided the essential core of the service is preserved. Features provided during the beta phase may vary in scope and availability; there is no entitlement to any particular feature or its continuation.
Remy uses artificial intelligence and algorithmic methods that may by their nature be error-prone, and estimates the probability of a succession situation on a best-effort basis. The succession score is an algorithmic indicator and does not constitute advice, a company valuation, or a purchase, investment, or legal recommendation. All outputs must be independently reviewed and validated by a human before any business use. The Client makes business decisions on its own responsibility.
The Client uses Remy exclusively for lawful purposes within the scope of the framework agreement. The following are prohibited in particular: reverse-engineering the software, circumventing protective mechanisms, copying or replicating the software, automated access (scraping) or the systematic extraction of data, security or penetration testing without prior written consent, and sharing access credentials beyond the licensed named users. The sanctions set out in the framework agreement (in particular a contractual penalty) are reserved.
All rights to Remy, the software, the algorithms, the shared scoring core, and the base data remain with the Provider. The Client receives a simple, non-transferable right of use limited to the term of the agreement. The overlay data entered by the Client remains its property.
Remy is a decision-support tool and does not replace M&A, legal, tax, or other professional advice. The Provider's liability is governed conclusively by the framework agreement; liability for indirect damage, consequential damage, lost profit, failed transactions, or data inaccuracies is excluded to the extent permitted by law. Mandatory statutory liability is reserved.
The Provider processes personal data in accordance with the revised Swiss Federal Act on Data Protection (FADP) and, where applicable, the GDPR; data is hosted in Switzerland. Details are governed by the data processing agreement and the technical and organisational measures as annexes to the framework agreement, as well as by our Privacy Policy.
The Provider may amend these Terms. The conditions and adjustment mechanisms agreed in the framework agreement remain decisive for the contractual relationship.
These Terms and the use of Remy are governed exclusively by Swiss law, to the exclusion of conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Zurich, Switzerland.
